1. These terms and conditions constitute the agreement between you and Complete Business Solutions (QLD) Pty Ltd for services we provide relating to the design, development, implementation, review, audit, analysis or improvement of business management systems whether in paper or digital form.
2. You agree that initial payment made by you to us for our services and whether partial or in full will constitute your full acceptance and agreement to these terms and conditions and the lack of a signed acceptance or authority by you is not grounds for subsequent non-acceptance or non-agreement of these terms and conditions.
3. You agree that the services provided to you includes the labour hours and costs expended on non-tangible deliverables such as but not limited to meetings, correspondence, telephone calls, consultation, research, review, quality assurance, audit, accounting and administrative services.
4. We will not be liable for the payment of any expenses or losses incurred by you in relation to obtaining, collecting or commissioning information gathered at our request for the provision of the service to you.
5. You agree that we are unable to provide you with our services without the timely and adequate supply of information or documentation from you upon request by us. If you do not engage or respond to our requests for information within 14 days of the request being made, we reserve the right to cancel our services without refund of any fees paid to the date of cancellation.
6. After the final invoice is paid, we will transfer full ownership to you of anything we have developed on your behalf such as documents, templates, images, registers, forms and other documented information in digital or paper format. Until then, such documents and information shall remain the intellectual and physical property of Complete Business Solutions (QLD) Pty Ltd.
7. We do not provide refunds. In cases of cancellation requests by you any refund of fees shall be at the sole discretion of Complete Business Solutions (QLD) Pty Ltd after consideration for any work undertaken by us and expenses incurred.
   You acknowledge our preferred method of communication is via email to ensure clear understanding between all parties and the establishment of an audit trail. In the event of a dispute, we shall rely upon written correspondence between the parties over and above verbal communication.
8. If any documents or materials you receive from us are used illegally or unethically, we will not be liable for the inappropriate use of such documents or materials. We will not be liable for any losses or damages. You will be solely responsible for any losses or damages caused by the wrongful use of the provided materials.
9.  We will undertake services in a professional, diligent and timely manner, however we cannot guarantee that the contents or functionality of our systems or their supporting documentation or software environment will always be error-free and so we can’t be liable to you or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate your business, even if you have advised us of the possibilities of such damages.
10. Prior to agreeing to provide the services, we may refuse to accept your request and decline to provide the services for any reason in our absolute discretion. In the event that we refuse to accept your request, we will notify you either in person or in writing as soon as reasonably practical.
11. Other than information available in the public domain, we agree not to disclose to any person your confidential information. This obligation will not be in breach where we are required to disclose such information by law.
12. We shall not be responsible for grant, tender or funding applications not being submitted due to technical issues such as internet connectivity, system inaccessibility, equipment failure or software disruption
13.  In the event our services includes the provision of an online relational database application utilising third-party software vendor ‘Knack’ you agree to be bound by the terms and conditions as detailed in their Knack Platform License Agreement covering, but not limited to, Terms of Use Policy, Privacy Policy, Terms of Service, Acceptable Use Policy and Service Level Agreement. 14. You agree that Complete Business Solutions (QLD) Pty Ltd shall not be held liable or responsible in any way whatsoever for anything the third-party software vendor does or does not do that may impact on your use of the software application and you indemnify us from any and all liability.
15. You grant us permission to use, copy, transmit, store, and back-up your information and data for the purposes of enabling you to access and use the services and for any other purpose related to provision of services to you.
16. You agree that 3rd party service providers may require access to your data to provide technical support services. We shall not be responsible for any disclosure, modification or deletion of your information resulting from any such access by 3rd party providers.
17. Our 3rd party software vendor adheres to best practice policies and procedures to prevent information loss, including a twice daily backup of system data and a daily backup of your application, but does not make any guarantees that there will be no loss. We expressly exclude liability for any loss of information or data (including archived) no matter how it was caused.
18. You confirm your understanding that the cost of the service may include 12-months subscription to the third-party software provider application after which time you will be response for the monthly or annual subscription. 19. We love to show off our work and share what we have learned with other people, so we also reserve the right to display publicly available, non-personal/private information as part of our portfolio and to write about the project on web sites, in magazine or blog articles and in books about health and safety. Please advise if you do not want us to do this.
20. LIMITATION OF LIABILITY
    In no event shall Complete Business Solutions (QLD) Pty Ltd be liable to any party for any damages, including without limitation any direct, indirect, special, punitive, incidental or consequential damages (including, but not limited to, damages for loss of business profits, business interruption, loss of programs or information, loss of profits or goodwill or loss of use of facilities or equipment), or any other damages arising – in any way, shape or form – out of the availability, use, reliance on, inability to utilise or improper use of Complete Business Solutions (QLD) Pty Ltd services even if Complete Business Solutions (QLD) Pty Ltd has been advised of the possibility of such damages or is negligent, and regardless of the form of action, whether in contract, tort, or otherwise.

1. These terms and conditions relate to the hire or rental of facilities, assets, workspace, equipment, accoutrements and space by Complete Business Solutions (QLD) Pty Ltd and iiHub Ltd.
2. The Hirer shall pay the amount specified for hire of the space, facilities and any fees and charges arising from the hire by the agreed dates.
3. Complete Business Solutions (QLD) and iiHub Ltd reserve the express right to revise its fees and charges. However, once a deposit is paid against an invoice no revision to fees will occur unless the conditions of hire are altered.
4. Complete Business Solutions (QLD) and iiHub Ltd shall not be liable in any way for loss or damage incurred due to the exercise of its rights under clause 2 (above). Whilst no compensation is applicable, Complete Business Solutions (QLD) and iiHub Ltd may at its own discretion refund any portion of amounts paid on account of fees.
5. The Hirer agrees to comply with all requirements of the Local Government Act and any other relevant Commonwealth, State or Local act, by-laws, rules or regulations, made hereunder and shall be liable for any breach of any such acts, by-laws, rules or regulations.
6. The Hirer shall be responsible for the cost of making good any damage or loss caused to the objects, buildings, furniture, fittings and equipment arising out of and/or in the course of the Hirer’s function.
7. It is recommended the hirer secure specific insurance against deliberate or accidental damage to any property on the hired premises. The hirer understands and agrees that no insurance coverage is held or provided to the hiring party by Complete Business Solutions (QLD) and iiHub Ltd.
8. The Hirer shall vacate the premises by the agreed time set out in our written confirmation. Specific arrangements to extend must be confirmed by the facility manager in attendance. Any extension of time or failure to vacate the premises at the agreed time may incur an additional fee (based on an hourly rate).
9. The Hirer must leave the premises in clean condition. Failure to do so will incur additional cleaning charges.
10. Smoking, smoke machines, naked flame, animals or helium balloons are not permitted within the facility buildings.
11. Any goods, properties or materials brought in by or on behalf of the Hirer or their attendees, are the responsibility of the hirer. Complete Business Solutions (QLD) and iiHub Ltd accepts no responsibility for damage or loss of goods or materials left at the premises prior to, during or after the event. All deliveries or collections for events must be arranged with and approved by the facility management prior to delivery or collection.
12. Signs, banners and decorations connected with the event must be approved by Complete Business Solutions (QLD) and iiHub Ltd prior to the function. No nails, screws, adhesives or fastenings may be driven into or attached to the walls, doors, glass, floors, furniture, fittings and equipment without the express consent of the facility manager.
13. All sound, electrical and lighting requirements must be approved by Complete Business Solutions (QLD) and iiHub Ltd prior to the event. Interference with, or alteration of any of the electrical installations, lighting, sound systems, or other property is prohibited. The Hirer must not handle, cover or endanger Complete Business Solutions (QLD)’s exhibitions or property.
14. All portable electrical equipment brought onto the facility premises must have a current test and tag certificate attached.
15. A representative of Complete Business Solutions (QLD) and iiHub Ltd will be on-site for the duration of the event. Any instructions given by Complete Business Solutions (QLD)’s representative in relation to the conduct of the function must be followed immediately. Complete Business Solutions (QLD)’s representative has the authority to terminate the event should any instructions or contract conditions not be observed.
16. Either party reserves the right to terminate the contract. If the Hirer terminates the contract more than 5 days prior to the event through no fault or breach of the contract by Complete Business Solutions (QLD) and iiHub Ltd the Hirer will forfeit 0% of the full venue hire charge for that event. If the Hirer terminates the contract between 1 and 5 days before the event through no fault or breach of the contract by Complete Business Solutions (QLD) and iiHub Ltd the hirer will forfeit 50% of the full venue hire charge for that event. If the Hirer terminates the contract within 24 hours of the event commencement time through no fault or breach of the contract by Complete Business Solutions (QLD) and iiHub Ltd the Hirer will forfeit 100% of the full venue hire charge for that event. If Complete Business Solutions (QLD) and iiHub Ltd terminates the contract through no fault or breach of the contract by the Hirer, Complete Business Solutions (QLD) and iiHub Ltd will refund all monies receipted from the Hirer for that event.
17. All fees and charges referred to in this Agreement are exclusive of and net of any taxes, duties and/or levies imposed by any Local, State or Federal Government including but not limited to any value-added goods and services and or transactions tax currently in force or introduced after execution of this agreement.
18. The Hirer is liable for themselves, their employees and any contractors whom they may engage in relation to the event and indemnifies Complete Business Solutions (QLD), all Complete Business Solutions (QLD) and iiHub Ltd employees and caterers against any claims, actions losses, demands, damages and expenses for which Complete Business Solutions (QLD), its employees and caterers shall or may become liable or suffer in respect of damage to Complete Business Solutions (QLD)’s property or injury or death of persons arising out of any wilful, unlawful or negligent act or omission of the hirer, its employees, agents or subcontractors in connection with this event. It is the responsibility of the Hirer to obtain and keep current insurance against such liability during the term of this contract and ensure that all contractors under their direction are similarly insured.
19. Where alcohol is to be served at an event, at least one hirer representative must hold a current Responsible Service of Alcohol Certificate, be on site during the service of alcohol and provide a copy of the Certificate to the on-site venue manager upon request.
20. Complete Business Solutions (QLD)’s facilities are hired on the rules and conditions above mentioned, and the payment for such facilities, and the issue of any receipt or confirmation of hire shall be deemed to be an acknowledgment and acceptance by such person of the conditions herein contained.

1. Fees charged by us for the development of grant, tender and funding applications are for the consultation, review, research, preparation, technical and creative writing, reviewing and analysis prior to a submission and the actual submission of relevant documents.
2. We will not be liable for the payment of any expenses or losses incurred by you in relation to obtaining, collecting or commissioning information gathered at our request for the preparation or lodging of your submission (eg. charges from an accountant to supply financials).
3. You agree that we are unable to provide you with our services without the timely and adequate supply of information or documentation from you upon request by us. If you do not engage or respond to our requests for information within 14 days of the request being made, we reserve the right to cancel our services without refund of any fees paid to the date of cancellation.

6. You agree to pay our fees regardless of whether the grant, tender or funding application was submitted. For the avoidance of doubt, our fees are based upon the work we undertake to prepare, consult, communication, meet, review, research, write, analyse or submit your application or part thereof.
7. If any documents or materials you receive from us are used illegally or unethically, we will not be liable for the inappropriate use of such documents or materials. We will not be liable for any losses or damages. You will be solely responsible for any losses or damages caused by the wrongful use of the provided materials.

The iiHub WIFI Hotspot is available at Level 1, 59 McLeod Street, Cairns City and is provided subject and conditional upon the terms set out herein.
You are responsible for providing your own computer, mobile or electronic device, being a wireless enabled device, that is capable of accessing a WiFi Hotspot with its own power source. iiHub/CBS does not provide any information technology advice or assistance to any user of the WIFI Hotspot.

Access to and use of this Hotspot is subject to these Terms & Conditions. By accessing and using this WIFI Hotspot, you agree that you have read, understood and accepted each and all these Terms & Conditions without limitation or reservation. If you do not agree to any of these terms you must not access and/or use the WIFI Hotspot.

iiHub/CBS may at any time revise these Terms & Conditions. It is your responsibility to check these Terms & Conditions for any updates. Any continued use after any revision of these Terms & Conditions is deemed acceptance of the current Terms & Conditions at that time.

• wireless signal interference and location of your wireless enabled device.

iiHub/CBS does not represent or guarantee that access to the WIFI Hotspot will be continuous, fault-free, secure or accessible at all times.

iiHub/CBS advises that this WIFI Hotspot access is not suitable for supporting any application or use, which requires continuous, fault-free network connectivity or uninterrupted and/or secure data traffic flow.

iiHub/CBS will use its reasonable endeavors to monitor and attend to any WIFI Hotspot faults, malfunctions or other problems associated with the WIFI Hotspot access, but will not be liable for any faults, malfunctions or problems that occur with the WIFI Hotspot, and shall not be obligated to rectify any such faults, malfunctions or problems associated with the WIFI Hotspot within any specified timeframe.

User Obligations and Limitations

The WIFI Hotspot is intended to be used in a fair and “community-minded” manner. To this end, iiHub/CBS may, in its absolute and sole discretion, limit or block certain websites, content and/or internet applications that you may seek to access whilst using the WIFI Hotspot.

Security

The Internet is an inherently insecure communication medium. Whilst iiHub/CBS will use reasonable endeavors to provide secure access through this WIFI Hotspot, it cannot guarantee the security of the WIFI Hotspot at all times.

You are solely responsible for any information or data uploaded, downloaded or otherwise communicated via the WIFI Hotspot and you are responsible for keeping all usernames, passwords and other security-based information secure and private at all times.

Without limiting any other provisions of these Terms & Conditions, iiHub/CBS shall not, in any way, be liable to you for any kind of loss, cost, claim or damage incurred as a result of your use of the WIFI Hotspot, including but not limited to any viruses you and/or any other party may become subject to during or as a result of your use of the WIFI Hotspot.

IiHub/CBS recommends the use of personal firewalls on your wireless enabled device to block unwanted traffic or downloads to your device.

Privacy

iiHub/CBS is committed to safeguarding personal privacy. It recognises that individuals have a right to control how their personal information is collected and used.

iiHub/CBS will only collect, use and store your personal information for the purposes of delivering the WIFI Hotpot in accordance with applicable legislation and these Terms & Conditions.

iiHub/CBS will collect and store the IP and MAC address of the wireless enabled device that has accessed the Hotspot, once agreement by the user of the Terms & Conditions have been reached, this agreement being confirmed via your logging on to the WIFI Hotspot.

iiHub/CBS is not in any way responsible for how any third party (including but not limited to any website or other internet or electronic application that you access and/or use through the WIFI Hotspot) collects and/or uses your personal information. You are solely responsible for checking the terms of use and privacy policy of each website you visit on a case-by-case basis and determining whether you accept such terms of use and/or privacy policies.

For the purposes of these Terms & Conditions, any reference to “you” or “your” includes, but is not limited to, the owner and/or user of the computer, mobile or electronic device used to access this WIFI Hotspot. Any reference to “We” “our”, “iiHub” or “CBS”, means iiHub Ltd and/or Complete Business Solutions (QLD) Pty Ltd and each and all of our related entities, associates, franchisees, managers and these parties employees.

Indemnity
You agree to indemnify and must defend and hold harmless, iiHub/CBS and its personnel, from and against all loss, damage, liability, charge, expense and cost (including all reasonable legal and other professional costs on a full indemnity basis) of any nature or kind arising from your breach of these Terms & Conditions.
iiHub/CBS makes no warranties or representations as to the accessibility, security, stability or reliability of this WIFI Hotspot and specifically disclaims any liability or responsibility for any WIFI Hotspot faults, failures or interruptions or the accuracy, timeliness, completeness, security or reliability of any communications (including, without limitation, any transactions), any damage to, or viruses that may infect your computer, mobile or electronic device or other property on account of your access to the WIFI Hotspot.

Indemnity

You agree to indemnify and must defend and hold harmless, iiHub/CBS and its personnel, from and against all loss, damage, liability, charge, expense and cost (including all reasonable legal and other professional costs on a full indemnity basis) of any nature or kind arising from your breach of these Terms & Conditions.
